(MASTER SERVICE AGREEMENT)

1. PREAMBLE & DEFINITIONS

This Master Service Agreement ("Agreement") constitutes a binding legal contract between AILAB LLC (dba "AICO," "The Agency," "We") and the entity or individual purchasing services ("The Client," "You").

By creating an account, adding services to your Order Summary, or processing a payment on aico.uz, you agree to be bound by these terms.

  • "Services" refers to AICO’s digital products, including but not limited to "Spark" (Strategy), "Architect" (Development), and "Visionary" (Full-Scale AI Integration).
  • "Deliverables" refers to the final custom code, strategy documents, designs, or reports provided to the Client.

2. ACCOUNT SECURITY & ACCESS

2.1. Mandatory Registration: Access to AICO services is restricted to registered members. You agree to provide accurate, current, and complete billing information.

2.2. Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials. AICO is not liable for any loss resulting from unauthorized access to your account.

2.3. Data Retention: Inactive accounts may be archived or deleted after 12 months of inactivity to ensure data privacy compliance.

 

3. ORDERS, PAYMENT & INVOICING

3.1. Scope of Work: The specific services to be performed are defined by the items selected in your Order Summary or outlined in a custom "Project Scope" invoice.

3.2. Payment Terms: Unless otherwise agreed in a separate written contract, all "Spark" and "Architect" services require 100% upfront payment before work commences.

3.3. Custom Invoices: For custom development work, the Client may use the "Custom Payment" terminal on the website. Payment of a custom invoice constitutes acceptance of the specific scope discussed via email/consultation.

3.4. Currency: All transactions are processed in Uzbek Soums (UZS) unless otherwise stated.

 

4. REFUND & CANCELLATION POLICY

4.1. Digital Nature of Services: AICO provides intellectual services and custom digital assets. Unlike physical goods, these cannot be "returned."

4.2. Strategy & Consulting: Fees paid for "Spark" or "Visionary" strategy sessions are non-refundable once the session has been conducted or the strategy document has been delivered.

4.3. Development Work:

  • Cancellations: You may cancel a development project within 24 hours of payment for a full refund, provided no work has commenced.
  • In-Progress Work: If a project is cancelled after work has begun, AICO retains a pro-rated amount covering the billable hours already invested.

5. INTELLECTUAL PROPERTY (IP) RIGHTS

5.1. Client Ownership: Upon full payment, the Client owns 100% of the Final Deliverables (e.g., the specific website code, the logo, the final PDF report).

5.2. Agency Background IP: AICO retains ownership of its underlying frameworks, pre-existing code libraries, AI prompting methodologies, and "Trade Secrets" used to create the deliverables. You are granted a perpetual, non-exclusive license to use these tools as part of your final product.

 

6. LIMITATION OF LIABILITY

6.1. No Guarantees: While AICO uses advanced AI and industry-standard practices, we do not guarantee specific market results (e.g., "Google Page 1 Ranking" or "10x Sales Increase").

6.2. Liability Cap: To the maximum extent permitted by law, AICO’s total liability for any claim shall not exceed the total amount paid by the Client for the specific service in dispute.

7. GOVERNING LAW

This Agreement shall be governed by the laws of the Republic of Uzbekistan. Any disputes arising from this Agreement shall be resolved exclusively in the courts of Tashkent City.
