1. GENERAL PROVISIONS

1.1. This document constitutes a Public Offer (hereinafter — the “Offer”) in accordance with the Civil Code of the Republic of Uzbekistan.

1.2. Full and unconditional acceptance (acknowledgment) of this Offer is evidenced by the Customer placing an order, initiating payment, or utilizing any services provided by AILAB LLC (hereinafter — the “Company”).

1.3. Upon acceptance, this Offer constitutes a legally binding service agreement between the Company and the individual or legal entity (hereinafter — the “Customer”).

2. SCOPE OF SERVICES

2.1. The Company specializes in hybrid AI-driven business development products, consulting, and digital solutions as detailed on https://aico.uz.

2.2. Specific deliverables, technical requirements, and project timelines are governed by individual Order Forms or Project Briefs agreed upon electronically or in writing.

3. PRICING AND PAYMENT DYNAMICS

3.1. Service costs are quoted on the Website or via official Commercial Proposals. All prices are in Uzbek Soums (UZS) and exclude VAT unless expressly stated otherwise.

3.2. Payment is facilitated through secure, integrated payment gateways (bank cards or electronic transfers).

3.3. Payment Terms:

3.3.1. Website Orders: Services purchased directly via the aico.uz interface require 100% advance payment at the time of checkout.

3.3.2. Custom Invoices: For bespoke projects where a separate invoice is issued, payment must be settled within 3 (three) business days of issuance, unless a specific payment schedule is defined in the project contract. Work commences only upon receipt of the initial deposit.

4. PROJECT PERFORMANCE & REVISIONS

4.1. Delivery of services is conducted electronically. A service is deemed completed upon the transmission of final deliverables (code, design, or reports) to the Customer’s provided contact.

4.2. Revision Policy: Each project includes 2 (two) comprehensive rounds of revisions. Requests for subsequent modifications are subject to the Company’s current hourly rates.

4.3. The Customer is responsible for providing all necessary assets (logos, text, data) in a timely manner. Delays in provision will result in an equivalent extension of project deadlines.

5. INTELLECTUAL PROPERTY & AI USAGE

5.1. All Intellectual Property (IP) remains the sole property of AILAB LLC until the final balance is paid in full.

5.2. Upon full payment, the Customer is granted a non-exclusive, perpetual license to use the deliverables for their intended business operations.

5.3. The Customer acknowledges that certain deliverables may involve the use of Artificial Intelligence; however, the Company guarantees the originality and legality of the final integration.

6. CONFIDENTIALITY & DATA PROTECTION

6.1. Both parties agree to maintain strict confidentiality regarding proprietary business information.

6.2. The Company complies with the Law of the Republic of Uzbekistan "On Personal Data." By accepting this Offer, the Customer consents to the processing of personal data necessary for service execution and payment processing.

7. REFUND & CANCELLATION

7.1. Refund requests must be directed to info@aico.uz.

7.2. Refunds for active or completed work are calculated pro-rata, deducting costs for resources and time already expended.

7.3. Refunded funds are strictly returned to the original source of payment.

8. GOVERNING LAW

8.1. This Offer is governed by the laws of the Republic of Uzbekistan.

8.2. Disputes shall be resolved through mandatory pre-trial negotiations within 15 days of notice. Unresolved disputes shall be referred to the Tashkent Interdistrict Economic Court.
